CSA WEB- PARTNER AGREEMENT
Program Offer
Vendor agrees to offer the stated Discounts or Services to all members of the Christian Soccer Association (CSA).
The Offer shall be available for the term of this agreement. If a better offer is available at the time of purchase, such offer shall replace this offer.
The Offer shall be available at all of Vendor’s locations in the list of addresses.
This Offer shall be honored in conjunction with the presentation of the CSA coupon.
Vendor agrees that the Offer granted to the CSA under this agreement shall meet or exceed any similar discount or offering granted to any other organization accessible to the general public.
All Offers and Services placed on web site must be approved by the CSA
Any amendments or deletions during the term of this agreement must be approved by the CSA.
CSA does not guarantee nor endorse services provided by Vendor.
Vendor may not use the CSA name, or otherwise refer to the CSA, in any advertising, publicity, or promotion except with the prior written consent of the CSA.
Neither CSA nor Vendor may assign this Agreement and any attempt to do so by either party is null and void.
Inspections:
Vendor agrees that the CSA may inquire as to the validity of discounts and services being offered to CSA members.
Disputes:
Vendor will, in good faith, endeavor to resolve directly with CSA any complaints of such members relating to discounts and/or services furnished by the Vendor in connection with this agreement.
Indemnification:
Vendor agrees to indemnify, defend and hold the Club, their officers, directors and agents, harmless against any and all loss, liability, claim, damage, and expense (including, without limitation, court costs and attorneys’ fees) resulting from bodily injury, personal injury, or property damage arising out of any act or omission of Vendor, its employees or agents, in furtherance of this Agreement.
Termination:
This Agreement will expire one (1) year from commencement. Furthermore, this Agreement granted to Vendor may be terminated by either party by written notice to the other no less than sixty (60) days prior to the effective date of the termination, provided that Vendor shall continue to honor the terms of the Offer or Services for a period of sixty (60) days from the date of the notice.
It is expressly agreed between the parties that CSA retains full ownership of the web site (CSA) in which the Vendor information appeared.
